Terms of Use

1. About these terms

These Terms of Use govern your use of file.kiwi, operated by MiniKiwi (the “Company”, “we”, “us”, or “our”), including its websites, applications, and related file-transfer and storage services (the “Service”).

These are our international terms, intended for customers outside the Republic of Korea, including the United States and the European Economic Area (EEA). The same document is available to all readers of this version. Language, nationality, or a detected country code does not by itself determine which law applies.

The general conditions apply to everyone covered by these terms. Section 10 explains additional regional protections, which apply when the relevant law applies to you and the transaction. If a regional protection conflicts with a general condition, the applicable regional protection takes priority. Nothing here limits rights that applicable law does not allow you to waive.

MiniKiwi is the Service provider. For purchases sold through Dodo Payments, the purchase transaction is also governed by the arrangement described in Section 4.

2. Definitions

  • Member: A person who uses the Service after logging in.
  • Temporary Member: A person who uses features available without logging in.
  • User or you: A Member or Temporary Member using the Service.
  • Web Folder: A space in file.kiwi where files can be uploaded, stored, and downloaded through a link. Depending on its permission settings, it can be used as a Shared Web Folder, Delivery Web Folder, or Collection Web Folder.
  • Web Folder Basic: A Web Folder with free basic features and specified free-download and automatic-deletion times. You may separately purchase a One-time Download Pass or File Expiration Extension when needed.
  • Web Folder+: A Web Folder that a Member uses by allocating Upload-GB from their account. Upload-GB is deducted when files are uploaded or their validity periods are extended, according to the applicable file size and duration.
  • Upload-GB: A prepaid Service usage unit for Web Folder+. One Upload-GB provides for uploading a 1GB file and using it for 7 days. For example, a 10GB file uses 10 Upload-GB for 7 days or 20 Upload-GB for 14 days.
  • Unused Upload-GB: Purchased Upload-GB that has not yet been used for a file upload or an extension of a file’s validity period. This includes both the unused account balance and amounts allocated to a Web Folder+ but not actually used.

3. Products, prices, and provision of the Service

3.1 Product types

Paid purchases provide file.kiwi’s file-transfer and storage features. They do not transfer ownership of, or grant a content licence to, files uploaded by other users.

These products are not subscriptions. We do not automatically renew them or charge you for a new purchase without your authorization.

The current prices, quantities, features, and applicable conditions are shown on our Pricing page and before you confirm payment. The final checkout identifies the amount and currency you will be charged, including applicable taxes. If the charge currency differs from a displayed estimate, the actual charge currency and amount must be shown before you pay.

3.2 Upload-GB allocation and use

Allocating Upload-GB to a Web Folder+ and actually using it are different actions. Allocation alone does not mean that all of the allocated Upload-GB has been used. When a Web Folder+ is deleted, its unused allocation is returned to the account for reuse.

The refund-request period in Section 5 is not an expiration date for Upload-GB. Any validity conditions for purchased units must be disclosed before purchase; this policy does not introduce a new credit-expiration period.

3.3 Purchase confirmation and activation

Before payment, you must be shown the product, its scope and duration, technical requirements and relevant compatibility limits, total price, these terms, and the refund conditions. An order must be confirmed through an action that clearly indicates an obligation to pay.

These are digitally delivered services; no physical item is shipped. After successful payment confirmation, the purchased access or extension is applied to the relevant Web Folder or files, or the purchased Upload-GB is credited to your account. If payment completes but the purchased feature is unavailable, contact [email protected] with enough information to identify the order.

For Upload-GB purchases, before payment we ask you to expressly request immediate performance before the end of the 14-day cancellation period and to acknowledge the consequences described in Section 5.1.

One-time Download Passes and File Expiration Extensions are made available immediately after payment without a separate request for immediate performance or acknowledgement of a loss of cancellation rights. If you cancel either product within the 14-day period, we will refund the full amount actually paid, including applicable taxes, regardless of activation or use, as described in Section 5.1.

For purchases through Dodo Payments, Dodo Payments sends your purchase confirmation by email to the email address provided at checkout.

4. Purchases through Dodo Payments

For purchases sold through Dodo Payments, the Dodo Payments entity identified at checkout or on your receipt acts as our authorised reseller and the Merchant of Record, meaning the legal seller for the purchase transaction. MiniKiwi operates and provides the Service.

Review and accept the Dodo Payments Buyer Terms before completing a purchase through Dodo Payments. They apply to the purchase transaction alongside the Service conditions set out here.

Dodo Payments collects payment, handles applicable transaction taxes, and issues the purchase invoice or receipt. MiniKiwi does not separately invoice or collect payment for the same Dodo Payments purchase. Refunds for that purchase are processed through Dodo Payments, not by a separate payment from MiniKiwi.

For purchases through Dodo Payments, you will also receive instructions by email for accessing the purchased Service.

The 14-day cancellation and refund conditions in Section 5 apply to the products covered by these terms. Neither a reference to Dodo Payments’ terms nor our own terms removes rights or remedies that cannot lawfully be excluded.

MiniKiwi handles refund requests under this policy and initiates refunds through Dodo Payments. MiniKiwi also provides technical support and resolves issues with access, file features, and delivery of the Service. Contact [email protected] for refund requests or Service support. Dodo Payments also provides transaction support for invoices, payments, refunds, and initial order-delivery queries through the purchase-support details in your receipt. Contacting us first is not a condition for exercising any right you have to contact your payment provider or a competent authority.

5. Refund & Cancellation Policy

5.1 Our 14-day cancellation period

You may cancel a paid purchase for any reason, or without giving a reason, within 14 calendar days. The period begins on the day after the purchase contract is entered into, as identified in your purchase confirmation. It is enough to send your cancellation notice before the period expires; you do not need to wait for our reply or approval.

This cancellation period applies separately to each One-time Download Pass, File Expiration Extension, and Upload-GB purchase, not only to your first purchase. We offer it to all customers covered by these international terms, including U.S. customers, whether or not their local law requires a cooling-off period. The product-specific conditions below determine the refund amount. Any longer statutory period or required extension, including those described in Section 10.2, takes priority.

References below to cancellation within 14 days include any such required extension of the cancellation period. The separate deadline to issue a refund remains 14 calendar days after receipt of the cancellation notice, as set out in Section 5.4.

Upload-GB

If performance has not begun, we will refund the full amount actually paid for the cancelled Upload-GB purchase, including the applicable taxes charged on that purchase.

If, before payment, you expressly asked us to make Upload-GB available immediately and you cancel after performance has begun, you must pay only for the portion of the Service provided before we received your cancellation notice. We calculate that proportionate amount by comparing the part actually provided with the full coverage of the purchase and applying that proportion to the total price actually paid. If the total price is excessive, the calculation will instead use the market value of the part provided.

For Upload-GB, we assess the portion provided from the file size and the period of upload or storage actually supplied before cancellation, compared with the capacity and duration covered by the purchase. Merely allocating Upload-GB to a Web Folder is not use; allocated units that have not actually been consumed remain unused. For discounted purchases, the calculation uses the amount actually paid. Free or promotional units have no separate cash refund value. We do not deduct payment-processing fees or impose a cancellation penalty.

If we did not give you the required cancellation and payment information, or did not obtain the required express request before beginning performance, you will not have to pay for Upload-GB provided during the 14-day cancellation period.

Once the purchased Upload-GB Service has been fully performed, your right to cancel that purchase ends only if you expressly requested immediate performance and acknowledged before payment that full performance would end that right. Merely beginning to use Upload-GB is not, by itself, full performance.

One-time Download Pass and File Expiration Extension

One-time Download Passes and File Expiration Extensions are made available immediately after payment. If you cancel either product within the 14-day period, we will refund the full amount actually paid, including the applicable taxes charged on that purchase, regardless of whether the product was activated, applied, or used. We do not deduct payment-processing fees or any amount for activation or use.

When the refund is issued, any remaining download access or extension period supplied by the cancelled purchase will be withdrawn. Cancelling one purchase does not affect access or extension rights supplied by a different purchase.

5.2 After 14 days

After the cancellation period, including any applicable statutory extension, change-of-mind refunds are not available under this policy. This does not affect remedies for non-delivery or a faulty Service, which may include correction, a price reduction, termination, or a refund depending on the circumstances, as explained in Section 5.5. Any more favorable terms already applicable to an earlier purchase remain unaffected.

5.3 How to cancel

Tell us clearly that you wish to cancel the purchase by using our online cancellation form, emailing [email protected], using the in-service support chat, or sending a written notice to our postal address in Section 1. The online form is available without signing in. No special wording is required.

Provide enough information to identify the purchase, such as the order or payment number, purchase date, product, and a reply email address. If you do not have the order number, we will help locate the purchase using reasonable alternative information. The relevant Web Folder or file identifier, or the account used to buy Upload-GB, may help, but a Web Folder link is not a mandatory condition of cancellation.

We may ask for limited information needed to verify that the request relates to your purchase.

If you use the online form, we will send an acknowledgement of receipt, including the content of your cancellation notice and the date and time of submission, to the email address you provide without undue delay. We will acknowledge other electronic cancellation notices without undue delay by email or another format you can retain. You do not need to wait for our acknowledgement to exercise your cancellation right.

5.4 Refund processing and effect on access

If you cancel within the 14-day period in Section 5.1, MiniKiwi will determine the amount due under the product-specific conditions in that section. Only an Upload-GB refund may be reduced by a permitted proportionate charge for the Service already provided. A One-time Download Pass or File Expiration Extension is refunded in full. For purposes of this policy, your cancellation notice is treated as received on the date it reaches MiniKiwi through one of the methods in Section 5.3. MiniKiwi will promptly submit any refund due to Dodo Payments, the Merchant of Record, for processing.

All amounts due will be reimbursed without undue delay and no later than 14 calendar days after MiniKiwi receives your cancellation notice. Dodo Payments will issue the reimbursement using the same payment method and currency used for the original transaction, unless you expressly agree to another method that does not result in additional cost to you.

Your bank or payment provider may take additional time to display the credit after Dodo Payments has issued the reimbursement.

Cancelling a purchase ends your entitlement to further paid use under that purchase. For Upload-GB, remaining units supplied by the refunded portion will be withdrawn and Service already provided is accounted for only through the proportionate amount described in Section 5.1. For a fully refunded One-time Download Pass or File Expiration Extension, any remaining download access or extension period supplied by that purchase will be withdrawn. We will not remove unrelated purchased units or rights as a penalty. Cancelling one purchase does not by itself close your account.

5.5 Problems with the Service and rights that remain available

The 14-day cancellation policy does not limit any separate rights concerning non-delivery, defects, failure to match the description or contract, necessary updates, unauthorized or duplicate charges, or a longer cancellation period that applies because required information was not provided.

If a paid product is not supplied or does not work as agreed, contact us. Depending on the circumstances and the rights that apply, you may be entitled to proper supply or correction without charge, a price reduction, termination and a refund, or other remedies. Where the conditions for an immediate refund or termination are met, we will not require you to accept repeated attempts to fix the problem.

These rights are not limited to unused products and do not end merely because 14 days have passed. A customer’s network or device limitations do not remove our responsibility for defects or undisclosed compatibility restrictions. You do not need to establish a service defect in order to cancel within the 14-day period. The permitted proportionate charge in Section 5.1 applies only to Upload-GB.

6. Files, permissions, and your content

You retain ownership of the files and other content you upload. You authorize us to perform the technical processing necessary to store, transfer, and make that content available according to your instructions and settings. This does not transfer ownership to us or authorize unrelated use of your content.

You must have the rights and permissions needed to upload and share content. A Web Folder’s settings and the links you share affect who can access or submit files. Keep account credentials and decryption keys secure, and do not share them with someone you do not intend to authorize.

The free-download expiration time and the automatic-deletion time are different. Review the times shown for your files and retain any independent copies you need. A File Expiration Extension applies only to the files and period identified in that purchase. Deletion can make a file unavailable; this does not excuse a failure to provide the paid Service as agreed.

7. Acceptable use and account security

Do not use the Service to distribute unlawful content, infringe another person’s rights, impersonate others, use a payment method without authorization, send spam, spread malicious code, gain unauthorized access, or interfere with the security or operation of the Service.

Provide accurate information where it is needed to operate your account or process a purchase. Take reasonable care of your account and devices and notify us promptly if you suspect unauthorized use. Your account-security responsibilities do not remove our own duties to maintain appropriate security or our liability where the law makes us responsible.

We may take proportionate action to address a breach, a security threat, an unlawful use, or a binding legal requirement. Where practicable and lawful, we will explain the action and give you an opportunity to respond. You may ask us to review a restriction at [email protected]. Suspension or termination does not automatically forfeit any refund or remedy you are entitled to.

8. Maintenance, changes, and discontinuation

We will provide the Service with reasonable care and skill. Interruptions do not remove our obligations to provide paid services as agreed or the remedies in Section 5.5.

We may change the Service under an existing contract for valid reasons such as security, legal requirements, compatibility, or necessary technical maintenance. We will explain those changes clearly, make them without additional cost to you, and preserve the rights attached to the purchase.

If a change beyond what is necessary to keep the Service in conformity with the contract negatively affects your access to or use of an ongoing paid Service beyond a minor extent, we will provide reasonable advance notice in a format you can retain, explaining the change, its timing, and your termination rights. You may terminate the affected contract without a fee within 30 calendar days after receiving that information or after the change takes effect, whichever is later. This termination right does not apply if we enable you to retain the unchanged Service at no additional cost and it remains in conformity with the contract. Any reimbursement due will be provided without undue delay and within the applicable deadline. This right is separate from the 14-day cancellation period.

If we discontinue the Service, we will give reasonable advance notice, subject to any applicable notice requirement, and explain how to obtain refunds due for paid services we will no longer provide. This is separate from a change-of-mind request after 14 days.

9. Privacy and third-party services

Our Privacy Policy explains how we process personal information. Accepting these terms is not consent to optional tracking or other processing that requires a separate choice.

Third-party services, including a connected Google Form and Dodo Payments checkout, may have their own terms and privacy notices. Their involvement does not remove responsibilities that remain ours.

10. Responsibility, applicable law, and regional protections

10.1 Protections for everyone

Nothing in these terms excludes or limits rights, remedies, or liability that cannot lawfully be excluded or limited, including mandatory rights relating to the quality or supply of paid services, data protection, and refunds.

Applicable law and the courts available to you are determined by the legal rules governing your contract and circumstances. These terms do not require you to bring a claim exclusively in Korea or waive mandatory protections of the country where you habitually live. They do not impose mandatory arbitration, a class-action waiver, or a waiver of a jury trial. The separate Dodo Payments purchase terms are addressed in Section 4; they do not reduce our commitments under this policy or override mandatory consumer rights.

10.2 Additional protections for EEA consumers

This subsection applies where EEA consumer law governs your purchase and you act for purposes outside your trade, business, craft, or profession.

  • Cancellation deadlines: If the statutory withdrawal period ends on a Saturday, Sunday, or applicable public holiday, it extends to the next working day. If the required withdrawal information was not provided, the statutory period can continue for 12 months beyond the original deadline. If that information is provided during the extension, you have 14 days after receiving it to withdraw.
  • Early performance: Upload-GB charges and the end of a withdrawal right on full performance remain subject to the express-request, information, and acknowledgement conditions in Section 5.1. Our full-refund promise for One-time Download Passes and File Expiration Extensions remains available during the applicable cancellation period even after activation or use.
  • Contract information: You are entitled to the required pre-purchase information and confirmation of the contract in a form you can keep, such as an email. A link to a webpage that we can later change is not, by itself, a substitute for that confirmation.
  • Service quality and changes: Your statutory rights to supply, conformity, necessary updates, and remedies continue for the period required by the law governing the Service. Sections 5.5 and 8 do not shorten that period. A payment provider’s processing limit does not shorten your claim period.

You retain the right to use the courts and consumer complaint procedures available under the applicable rules, including in your home country where those rules permit. We do not require you to use our support process before exercising those rights.

10.3 Additional protections for U.S. customers

The common 14-day policy in Section 5 is our contractual commitment to U.S. customers; it does not depend on a general federal right to cancel an online purchase. Federal and state protections concerning deceptive practices, unauthorized payments, and enforceable warranties or remedies continue to apply where their requirements are met.

If the law applicable to your purchase gives you additional cancellation, refund, or other consumer rights, those rights take priority over any conflicting limitation here. We do not describe the Service as supplied without all warranties or require you to give up remedies that your applicable state law protects. The non-subscription conditions in Section 3.1 apply equally to U.S. purchases.

11. Changes to these terms

We will explain changes, their reasons, and their effective date with reasonable advance notice appropriate to their effect and any applicable notice requirement. We will notify affected users of material changes in a format they can retain. Shorter notice will be used only where necessary for a legal or urgent security requirement and allowed by applicable law. Changes to an ongoing paid Service are also subject to Section 8.

We will obtain express agreement where required, including for new or increased payment obligations or materially less favorable refund terms. Silence is not treated as agreement to those changes. We will not apply less favorable terms retrospectively to an existing purchase.

If you reject a change, contact us. Existing terms will continue to govern your existing purchase unless there is a lawful reason they cannot continue; in that case, we will explain the reason, available termination options, and any refund due.
